Selling a business is one of the most complex, high-stakes financial decisions you will ever make. It affects your employees, your customers, your legacy, and your financial future. It deserves a professional process — not guesswork.

At SellMyBizVA, we represent owners of established Virginia businesses through the complete sale process. That means handling everything from initial valuation and market positioning to buyer screening, due diligence management, and closing coordination — while keeping the entire process completely confidential.

Who We Work With

We work with privately held businesses of all sizes — from main street operations to lower middle market companies. From a well-run restaurant or childcare center to a multi-million dollar manufacturing operation — if you've built something worth selling, we want to help you sell it right.

Whether your business is a growing main street operation or a lower middle market company, we work in service, manufacturing, or established retail, you are in our market.

What Sellers Can Expect

Every engagement begins with a confidential assessment — no commitment, no obligation. We analyze your financials, review your operations, and give you an honest picture of what the business may be worth and what the process looks like for a company in your position.

The Six Stages of a Well-Run Sale

01

Valuation & Exit Assessment

We analyze your normalized EBITDA or SDE, apply market-based multiples for your industry, and factor in risk drivers like customer concentration, recurring revenue, and management depth. You get a realistic market value range — not an inflated number designed to get your listing.

02

Preparation & Pre-Market Positioning

We help you get the business ready for scrutiny. Clean financials, organized documentation, and a compelling narrative that positions your company competitively without revealing its identity prematurely.

03

Confidential Marketing & Buyer Outreach

We create a blind teaser and a Confidential Information Memorandum (CIM). We approach targeted buyers — private equity groups, search funds, strategic acquirers, and qualified independents — under NDA before any identifying details are shared.

04

Buyer Qualification & Screening

Not every interested party is a real buyer. We evaluate financial capability, strategic fit, operational experience, and genuine intent before introducing anyone to you or your business.

05

LOI, Deal Structure & Negotiations

We manage the letter of intent process and negotiate deal structure on your behalf — purchase price, earnout provisions, seller note terms, transition period, and key representations. Getting this right matters as much as the headline number.

06

Due Diligence & Close

We coordinate with your attorney, the buyer's legal team, SBA lenders (when applicable), and your accountant to manage due diligence efficiently. Our goal is to close on schedule, at the agreed terms, without late-stage surprises.

Common Questions from Sellers

Business valuation for private companies typically uses a multiple of EBITDA (Earnings Before Interest, Taxes, Depreciation and Amortization) or SDE (Seller's Discretionary Earnings) for smaller companies. Multiples vary significantly by industry, revenue size, recurring revenue quality, and buyer type. We provide a confidential valuation assessment at no charge to help you understand the realistic range for your specific business.

Not unless you choose to tell them. Confidentiality is one of the most important aspects of our process. We use blind profiles (no company name), require NDAs before sharing any identifying information, and carefully manage all communications. Most employees learn of a sale only after closing — or after you make a deliberate decision to disclose, which we help you plan for.

For established businesses in our target market, the typical timeline is 6–12 months from engagement to close. Well-prepared businesses with clean financials and strong recurring revenue tend to move faster. Factors like SBA financing requirements, due diligence complexity, and buyer financing can extend timelines. We'll give you a realistic assessment upfront.

Often, yes. The businesses that sell at the highest multiples are the ones that are ready for scrutiny before they go to market. That means clean, accountant-prepared financials for at least 3 years, documented processes, limited owner dependence, diversified customers, and no hidden liabilities. We'll conduct a pre-sale readiness review and work with you on any gaps.

We earn a success fee — a percentage of the final transaction value — paid at closing. There are no upfront fees for our sales representation services. Our interests are aligned: we only get paid when you close at a price that reflects the value of what you built. We discuss fee structures transparently at the outset of each engagement.

What Makes a Business More Valuable to Buyers

Understanding what buyers are willing to pay more for helps you prepare — whether you're planning to sell in 12 months or three years.

  • Recurring revenue — contracts, subscriptions, maintenance agreements, or strong customer retention
  • Management team that can operate without the owner present
  • Diversified customer base — no single customer representing more than 15–20% of revenue
  • Clean, professionally prepared financial statements for 3+ years
  • Documented standard operating procedures and transferable systems
  • Strong margins relative to industry benchmarks
  • Favorable lease or property arrangements
  • Growth trajectory that gives buyers confidence in future performance
